Reinstatement of a nonprofit corporation for North Dakota

The reinstatement of a nonprofit corporation in North Dakota can be done only after one year of administrative dissolution. The last annual report of the nonprofit corporation must have been filed with the North Dakota Secretary of State. The reinstatement must be filed as a new entity after a year of administrative dissolution.

  • The reinstatement can occur within one year after the dissolution.
  • The due annual reports must be filed and the reinstatement request should be made along with the appropriate fees.
  • The reinstatement can be made only by a court order obtained from North Dakota's Burleigh County Court filed with the North Dakota Secretary of State, after the one-year reinstatement period following the involuntary dissolution. The court order must be submitted along with the most recent past-due annual report, registered agent statement of change, and appropriate fees.
